Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and the operator of Vision Control ("we," "us," or "our"), governing your access to and use of the website visioncont.org and all related services (collectively, the "Service").

By creating an account or using the Service you confirm that you:

2. Description of Service

Vision Control is a cloud-based collaborative file-storage platform that provides:

3. Accounts & Responsibilities

3.1 Account Registration

You must provide a valid email address, a username, and a password to create an account. You are responsible for ensuring that the information you provide is accurate and kept up to date, particularly your email address (which is used for billing notices and account-security communications).

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your password and API tokens, and for all activity that occurs under your account. You must notify us immediately at support@visioncont.org if you suspect any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to secure your credentials.

3.3 One Account Per Person

Each individual may maintain only one free account. Creating multiple accounts to circumvent storage limits is a violation of these Terms and may result in account suspension.

4. Subscriptions & Billing

4.1 Storage Plans

Prices are in US dollars and exclude any applicable taxes. We reserve the right to change plan prices with at least 30 days' written notice to your registered email address. If you do not cancel before the price change takes effect, your continued use constitutes acceptance of the new pricing.

4.2 Auto-Renewal

Paid subscriptions are billed monthly and renew automatically at the end of each billing period until cancelled. You may cancel at any time via the "Manage Subscription" option in your account settings (which opens the Stripe Customer Portal). Cancellation takes effect at the end of the current paid billing period — you retain access to your paid tier until then.

4.3 No Refunds for Partial Periods

We do not issue refunds or credits for partial billing periods, unused storage capacity, or periods during which you did not use the Service.

4.4 Taxes

You are responsible for any sales tax, VAT, GST, or other taxes applicable to your subscription in your jurisdiction. Stripe may collect applicable taxes on our behalf where required by law.

5. Payment Processing

All payment processing is handled exclusively by Stripe, Inc. We never see, store, or have access to your full credit card number, CVV, or bank account details.

5.1 Stripe as Payment Processor

By subscribing to a paid plan or making a donation, you agree to Stripe's Services Agreement and authorize Stripe to charge your payment method on a recurring basis. Your payment information is collected, stored, and processed by Stripe under their Privacy Policy.

5.2 Your Billing Information Responsibility

You are solely responsible for providing accurate and current billing information (card number, expiry date, billing address, etc.) to Stripe. Vision Control does not validate, correct, or pre-screen any payment details you submit. We are not liable for:

5.3 Failed Payments & Subscription Lapse

If a subscription payment fails, Stripe will attempt to retry the charge automatically according to its Smart Retries schedule (typically over 7–14 days). If all retries fail, your subscription will be cancelled by Stripe and your account will revert to the Free plan. We are not responsible for data loss or service interruption resulting from a failed payment. Section 6 (Storage Limits & Data Retention) will apply immediately upon subscription cancellation.

5.4 Disputes & Chargebacks

Billing disputes must first be directed to us at support@visioncont.org before initiating a chargeback with your bank or card issuer. Initiating a chargeback without first contacting us may result in immediate account suspension. All chargeback disputes are handled through Stripe's dispute process.

6. Storage Limits & Data Retention

6.1 Storage Enforcement

Each plan carries a hard storage limit (see Section 4.1). When your account's total stored data reaches or exceeds your plan's limit, new uploads are blocked until you either delete content or upgrade to a higher plan. This restriction applies regardless of whether your subscription is current.

6.2 Over-Limit Triggers

Your account may become over-limit if:

When your account becomes over-limit, a 30-day grace period begins immediately. During the grace period:

After Day 30 🗑️ Auto-Deletion Projects deleted newest-first until within limit.
We will send at least one email warning to your registered address before the grace period expires and automated deletion begins. It is your responsibility to ensure your email address is current and that our emails are not filtered to spam.

6.4 Automated Deletion After Grace Period

If your account remains over-limit after the 30-day grace period, Vision Control will automatically delete projects from your account in the following manner:

We are not liable for any data loss resulting from automated deletion after the 30-day grace period has expired. You are solely responsible for downloading or migrating your data before the grace period ends.

6.5 Restoration

Once automated deletion has occurred, the deleted data cannot be restored, even if you subsequently upgrade your plan or resolve a payment issue. Upgrading after deletion will only restore your ability to upload new content — it will not recover deleted projects.

7. Marketplace Donations & Stripe Connect

7.1 Enabling Donations

Owners of public Marketplace projects may optionally connect a Stripe Express account to receive donations from other users. By enabling this feature you agree to Stripe's Connected Account Agreement and its associated policies.

7.2 Platform Fee

Vision Control deducts a 5% platform fee from each donation before the remainder is forwarded to your Stripe Express account. This fee covers payment processing costs and platform maintenance. The fee is non-refundable once a donation has been processed.

7.3 Identity Verification (KYC)

Stripe is required by law to verify the identity of anyone who receives payouts ("Know Your Customer" / KYC). This verification is conducted entirely by Stripe and governed by their privacy policy. Vision Control does not collect, store, or process your identity documents or banking information — we only store your Stripe Express account ID and onboarding status.

7.4 Payout Responsibility

We are not responsible for:

7.5 Donor Responsibility

Donations are voluntary and non-refundable once processed. By making a donation you authorize Vision Control and Stripe to charge your payment method. We are not liable for errors in the amount donated due to user input mistakes.

7.6 Tax Obligations

You are solely responsible for reporting and paying any income tax, VAT, or other taxes applicable to donations or payouts you receive. Stripe may issue tax forms (e.g. 1099-K) where required by law.

8. Your Content & Intellectual Property

8.1 Ownership

You retain full ownership of all files, projects, and content you upload to Vision Control ("Your Content"). These Terms do not transfer any intellectual property rights to us.

8.2 License to Us

By uploading content you grant Vision Control a limited, non-exclusive, royalty-free, worldwide license to store, process, copy, transmit, and display Your Content solely as necessary to provide the Service to you. This license ends when you delete the content or close your account.

8.3 Your Representations

You represent and warrant that:

You are solely responsible for the content you upload. We do not review content before it is stored and are not liable for any claims arising from Your Content.

9. Public Marketplace

By setting a project's visibility to "Public" you acknowledge that:

You may set a project back to "Private" at any time from your project settings, which immediately removes it from the Marketplace.

10. Acceptable Use

You agree not to use the Service to:

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

We are not responsible for the actions or content of third-party services (Stripe, Cloudflare, Brevo, or any other provider) even where they are integrated into the Service.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VISION CONTROL AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Payment-related damages specifically excluded: We expressly disclaim all liability for payment processing failures, declined charges, incorrect charges due to user error, payout failures or delays through Stripe Connect, and any financial loss arising from the actions of Stripe or your financial institution.

In any case, our total cumulative liability to you for any claim arising under these Terms shall not exceed the total fees you paid to Vision Control in the three (3) months preceding the event giving rise to the claim.

13. Termination

13.1 Termination by You

You may delete your account at any time via Profile → Delete Account in your dashboard settings. Account deletion is permanent and immediate — see our Privacy Policy for details of what data is removed.

13.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service is not commercially viable. In the case of termination for cause (Terms violation) no refund will be issued.

13.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 8 (Content & IP), 11 (Disclaimers), 12 (Limitation of Liability), and 15 (Governing Law) survive termination.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service and/or emailing your registered address at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. The Last updated date at the top of this page reflects the most recent revision.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be addressed by contacting us at support@visioncont.org to attempt informal resolution. If informal resolution fails within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Maricopa County, Arizona, on an individual basis. You waive any right to participate in a class-action lawsuit or class-wide arbitration against Vision Control.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
